End User License Agreement (EULA)

Your access to and use of the PHPKB software is conditioned on your acceptance of and compliance with these terms. These terms apply to all customers, users and others who access or use the PHPKB software.

LICENSE

Chadha Software Technologies referred to as "CST" throughout this agreement grants you a non-exclusive license to use the PHPKB Knowledge Base Software on one installation to be accessible by one URL (web address) subject to the provisions in all sections of this Agreement.

TERM

PHPKB knowledge base script software offered under yearly and lifetime licensing. Both license terms feature technical support and service plus access to upgrades to the software as they are available. In the event a one-year license expires without being renewed, the software will remain completely functional but will be unsupported and no access to upgrades will be made available.

SCOPE OF GRANT

You may:

• Customize the Software's design and operation to suit the internal needs of your web site except to the extent not permitted in this Agreement.
• Produce and distribute modification instructions, Skin packs, or Language packs provided that they contain notification that the Skin and Language packs were exported from and originally created by Chadha Software Technologies. The modifications instructions you personally create are not owned by CST so long as they contain no proprietary coding from Chadha Software Technologies.
• Create applications which interface with the operation of the Software provided said application is an original work.

You may not:

• Permit other individuals to use the Software except under the terms listed above.
• Reverse engineer, disassemble, or create derivative works based on the Software for distribution or usage outside your web site.
• Use the Software in such a way as to condone or encourage terrorism, promote or provide pirated software, or any other form of illegal or damaging activity.
• Modify and/or remove any copyright notices or labels on the Software on each page (unless copyright output removal license is purchased) and in the header of each script source file.
• Distribute the Software.
• Distribute individual copies of files, libraries, or other programming material in the Software package.
• Distribute or modify proprietary graphics, HTML, or CSS packaged with the software for use in software applications other than PHPKB or web sites without written permission from CST.
• Modify the software to function in more than one instance or location (URL, domain, subdomain, etc.) from a single set of source program files unless each location is separately licensed.
• Remove the 'Powered by PHPKB' link from the footer of front-end (public area) files without paying the link removal fees. The link removal fees allow you to remove the 'Powered by PHPKB Software' link from the bottom of script files of front-end only. The 'Powered by PHPKB Software' link, PHPKB logo and/or our copyright cannot be removed from the footer of admin control panel's files under any circumstances.

DISCLAIMER OF WARRANTY

The Software is provided on an "AS IS" basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose, and non-infringement. The entire risk as to the quality and performance of the Software is borne by you. Should the Software prove defective, you and not CST assume the entire cost of any service and repair. In addition, the security mechanisms implemented by CST Software have inherent limitations, and you must determine that the Software sufficiently meets your requirements. This disclaimer of warranty constitutes an essential part of the Agreement.

TITLE

Title, ownership rights, and intellectual property rights in the Software shall remain with CST. The Software is protected by copyright laws and treaties. Title and related rights in the content generated through the Software is the property of the applicable content owner and may be protected by applicable law. This License gives CST no rights to such content.

TERMINATION

This Agreement will terminate automatically upon failure to comply with the limitations described herein or on written notice from an authorized representative of CST. On termination, you must destroy all copies of the Software within 48 hours. Termination of the license due to noncompliance will not result in any refunds of license fees.

MISCELLANEOUS

CST reserves the right to publish a selected list of users of the software however if a customer do not want their company name and/or logo to be displayed on our website, they can inform us so that we do not publish any information about them. CST reserves the right to change the terms of this Agreement at any time. Changes to the Agreement will be announced via email using the CST email notification list. Failure to receive notification of a change does not make those changes invalid. A current copy of this Agreement will be available on the web site www.phpkb.com.

Skin packs and Language packs are defined as the group of code, text, and graphics that are exported from the software using the provided functions of the software Administration Control Panel. Integrated add-ons for PHPKB are released under this Agreement. Purchasing or downloading integrated add-ons constitute an additional, separate instance of this Agreement.

Technical support will not be provided for third-party modifications to the Software including modifications to code, Skin packs, and Language packs to any license holder. If the Software is modified using a third-party modification instruction or otherwise, technical support may be refused to any license holder.

MONEY BACK GUARANTEE

30 Days Money Back Guarantee option is applicable only if PHPKB knowledge base software fails to run on your web server due to some technical reason provided that the customer has read the system requirements before purchasing the software and made sure that their server meets the requirements to run PHPKB software.

IMPORTANT: Money Back Guarantee is not applicable if the customer decides not to use the software after purchase. Please refer to our support policy to know what is covered and what is not covered in our support. Refund orders are processed at the sole discretion of our company. Chadha Software Technologies shall, in its sole discretion, determine whether all requirements for the refund request have been satisfied and may terminate or modify the 30 days money back guarantee program on a prospective basis at any time. The act of submitting a refund request does not ensure that a refund will be issued.

HOSTED LICENSE

If you buy a hosted license of PHPKB Knowledge Base Software, then you agree with the following terms and conditions:

• Hosted License does not come with access to source code of software files.
• You may request for a logo change on your hosted license.
• Hosted License will be setup on our server and the URL to access your hosted knowledgebase would be something like https://title.knowledgebase.co where “title” can be of a sub-domain of your choice provided that it has not be taken or reserved by another customer.
• You have access to take SQL backup of your knowledge base data in your hosted license. So, it is your duty to take regular backups of your knowledge base data.

POLICY ON INSTALLATION URL CHANGES

Definition of Installation URL: The "Installation URL" refers to the specific web address where the licensed software is installed and operational.

Eligibility for URL Change: The licensee may request a change to the Installation URL within two (2) months from the date of issuance of the original license. This request must be formally made in writing to CST and is subject to approval at the sole discretion of CST.

Restriction Period: After the expiry of two (2) months from the issuance of the license, any request for changing the Installation URL will not be accommodated. This policy is enforced to maintain the security and integrity of our licensing system.

Exceptions: No exceptions to this policy will be made, except under special circumstances which will be evaluated on a case-by-case basis by CST. Such exceptions are rare and require compelling justification.

Impact of Unauthorized Changes: Any changes made to the Installation URL without formal approval from CST may result in the suspension or termination of the license, as per the terms outlined in this EULA.

Notification and Approval Process: To request a change to the Installation URL within the eligible period, the licensee must provide CST with the current Installation URL, the new proposed Installation URL, and a valid reason for the change. The licensee will be notified of the approval or denial of the request in a timely manner.

Licensee Responsibilities: It is the responsibility of the licensee to ensure that all conditions of the license are met. Failure to adhere to this policy may result in additional charges or legal action, as stipulated in the general terms and conditions of this EULA.

PROPRIETARY LABELS

Authorization to remove or modify output of copyright notices can be obtained from CST for a fee. This fee authorizes you to remove the output of copyright notices: it does not give you authorization to remove any copyright notices in the program source files or any other rights.

GOVERNING LAW

This Agreement shall be governed by the Laws of the Jalandhar Jurisdiction and the Laws of India. Any action in regard to this Agreement or arising out of its terms and conditions shall be instituted and litigated in the Jurisdiction of Jalandhar City. Each of the parties consents to jurisdiction in such Court and agrees that service of process as provided by the courts of Jalandhar City shall be sufficient.
